Electronic Disclosure and Consent

HelmShare is dedicated to providing the best online investing experience possible, including providing information to You electronically. As HelmShare operates primarily on the Internet, it is critical that You consent to transact business with us online and electronically. As part of doing business with HelmShare, therefore, we also need You to consent to our giving You certain Communications electronically. By accepting this agreement, You agree that You are willing and able to receive Communications in electronic form, and consent to receive Communications in electronic form. If You do not give Your consent to receive Communications in electronic and not paper form, You may not open a HelmShare account ("User Account"). You understand and acknowledge that when you open an Account, You are agreeing to opt-in to and enroll in programs and/or accounts that support the operation of such Account that may be administered by third-parties and You agree that HelmShare may share information with such third-parties, as applicable in its sole discretion, to continue the operation of Your Account. If you withdraw your consent to electronic Communications at any point after providing consent hereunder, we reserve the right to terminate Your account and take steps that HelmShare deems appropriate in its sole discretion to manage and or separately terminate Your User Account. You acknowledge that we shall not be liable for any loss or damage incurred as a result of Your inability to use the HelmShare platform and/or Your account in such a case.

To the fullest extent permitted by law, we will deliver Communications to You electronically, either through the HelmShare website https://helmshare.yachts/ ("Website"); the HelmShare mobile app ("App"); text or SMS messages ("Text Messages"); or through electronic mail ("E-mail"). If we do not deliver Communications to You through the above manners, we will tell You where You can go to receive such Communications. All Communications in electronic format will be considered to be "in writing," and to have been received no later than twenty-four (24) hours after posting or transmission, whether or not You have received or retrieved the Communication. We may be required by law to deliver certain Communications to You on paper even though You have consented to receive it electronically.

To receive and retain electronic Communications from HelmShare, You will need the following: A computer or mobile device with an operating system that supports everything below; An internet connection; A current version of a web browser that we support, including: Edge version 42 or higher, Firefox version 62 or higher, Safari version 12 or higher, or Chrome version 69 or higher; A hard drive or other method of storing data; A valid, active email address; and A current version of a program that displays PDF files. We may update these requirements periodically in order to maintain our ability to provide electronic Communications; if these requirements change in a substantial way, we will notify You of the changes. Potential costs associated with electronic delivery of electronic Communications include charges from Internet access providers and telephone companies, and such charges are borne by You. Before You decide to do business electronically with HelmShare, You should consider whether You have the required hardware and software capabilities described herein.

You agree to promptly and carefully review all Communications as and when delivered and if You object to the information provided notify HelmShare via email at mike@helmshare.yachts within three (3) days of delivery, or within such other applicable time frame as a communication may denote. HelmShare is entitled to treat such information as accurate and conclusive unless You object via email within three (3) days of delivery.

It is Your responsibility to maintain accurate and current contact information so that we may send You electronic Communications. You can update Your email address and other contact information by logging into Your online account at https://helmshare.yachts/, in the "Profile settings" section, or by emailing us at mike@helmshare.yachts.

You affirm that You have read and consent to the Terms of Use and the Privacy Policy for use of the HelmShare platform, which includes the Privacy Policy in connection with HelmShare's collection and maintenance of Your (or Your beneficial owners') personal information in accordance with the General Data Protection Regulation (GDPR) and which Privacy Policy is provided on behalf of HelmShare. Furthermore, You hereby (i) request and agree, to the extent permitted by applicable law, that HelmShare may provide electronically any required annual privacy notice or any updates to the Privacy Policy relating to the HelmShare platform or any other information regarding the collection and maintenance of Your personal information received through the HelmShare platform, and (ii) to the extent permitted under applicable law, agree to transact business with HelmShare and receive Communications electronically.

If we choose to make paper copies of certain electronic Communications available, we do not create any obligation to do so at other times. You may obtain a paper copy of an electronic Communication by printing it or by requesting we mail a paper copy. You may make requests for paper copies by emailing us at mike@helmshare.yachts.

We are required by law to give You certain information in writing. All Communications delivered to You in either electronic or paper format will be taken as information delivered "in writing."

You have the right to withdraw Your consent to this agreement at any time. Withdrawing consent will terminate Your HelmShare account, including access to our Website and Mobile App. A balance refund may be issued to You upon account termination in accordance with this Agreement. You may withdraw consent by emailing us at mike@helmshare.yachts. Your consent to receive Communications and transact business with HelmShare electronically, and this agreement, applies to any transactions to which such Communications relate and such consent will remain in effect for so long as You use the HelmShare platform and Your account and will continue until such a time as all Communications regarding consent to electronic delivery of Communications remain applicable to You.

You acknowledge that the Internet is not a secure network and that communications transmitted over the Internet may be accessed by unauthorized or unintended third parties. E-mail notifications sent by HelmShare will not contain sensitive or confidential customer information, including account numbers. Due to security risks, You will not send any sensitive information, such as account numbers or passwords, in an unencrypted e-mail. E-mails on rare occasions may fail to transmit properly. Regardless of whether You receive an email notification, You agree to check the appropriate HelmShare website regularly for up-to-date information and to avoid missing time-sensitive information. You agree that, for Your records, You can download and save or print Communications You received via electronic delivery.

HelmShare is committed to compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws in the European Union and MENA regions. Your personal data is processed in accordance with our Privacy Policy and applicable data protection legislation. You have the right to access, rectify, erase, restrict processing, object to processing, and data portability in relation to your personal data.
